STEVENSON, Wash.Total Nutraceutical Solutions Inc. (TNS) entered into a revenue sharing agreement to begin a direct mail marketing program of a proprietary private label compound developed and manufactured by the company to address joint pain and inflammation. Joining TNS in the agreement are AMC LLC, Los Angeles, an experienced direct mail marketing company; and Delta Group Investments Ltd. (DGI), Hong Kong, a private investment company that will provide a loan of $300,000 as operating capital to launch the campaign. The initial test mailing will consist of 250,000 pieces sent out by late April 2010. In connection with the direct mail marketing campaign, AMC will receive stock purchase warrants based on performance criteria tied to total sales. DGI has an option to convert their loan or any portion thereof to common stock of TNS at $0.25 per share.
