Innophos Completes $46 Million Acquisition of Triarco Industries

NEW JERSEY Innophos Holdings, Inc., a producer of nutritional specialty ingredients, has completed the $46 million acquisition of Triarco Industries, Inc.

Innophos said Triarco is "highly complementary" to the mineral ingredients businesses it has acquired over the last two years: Kelatron and ATM.

Triarco, a privately based company in New Jersey, specializes in botanical and enzyme-based ingredients geared for such markets as dietary supplements, fortified beverages and sports nutrition. The company has annual revenues of $25 million and margins that are in line with those Innophos' existing specialty ingredients businesses earn, according to Innophos.

Innophos, based in Cranbury, N.J., anticipates the acquisition will be accretive to EPS in 2013.

Innophos purchased Triarco's assets for $45 million in cash and $1 million in shares of Innophos common stock.
